Welcome to Agency Archi. These Terms of Service (“Terms”) govern your use of our website and AI-powered advertising creative services.
By purchasing our services, submitting a complimentary sample request, or otherwise engaging Agency Archi, you agree to these Terms.
Services
Agency Archi provides AI-powered advertising creative and related creative strategy services primarily for ecommerce and DTC brands.
Depending on the package selected, services may include:
AI-generated UGC video production;
creative concepts, hooks, scripts, and angles;
raw, captioned, and fully edited creative variations;
creative performance analysis;
creative recommendations and reporting;
Creative Intelligence databases or dashboards; and
other creative services specifically stated in the selected package or written agreement.
The exact number of AI UGC Angles, creative variations, production frequency, reports, and other deliverables is determined by the package purchased by the client.
AI UGC Angles
For purposes of our packages, an “AI UGC Angle” generally means one primary AI-generated creative concept or a meaningful variation of an existing concept.
Unless otherwise stated, one Angle may be developed into multiple creative variations, such as:
a raw AI UGC version;
a captioned version; and
a fully edited version that may include captions, B-roll, music, graphics, or other post-production elements.
These variations do not necessarily represent separate concepts or separate AI generations.
Complimentary AI Ad
Agency Archi may offer eligible prospective clients a complimentary AI-generated advertising sample.
Unless otherwise agreed, the complimentary sample may include:
one AI UGC Angle;
one raw AI UGC ad;
one captioned variation; and
one fully edited variation.
Complimentary samples are generally limited to one per company and are subject to review and approval by Agency Archi.
Submission of a request does not guarantee eligibility or production of a complimentary sample.
Agency Archi may decline, limit, suspend, or discontinue the complimentary sample program at any time.
Client Materials
To provide our services, we may require materials including product photographs, logos, product information, website content, brand guidelines, existing advertisements, performance data, or other assets (“Client Materials”).
You retain ownership of your Client Materials.
By providing Client Materials to Agency Archi, you grant us a limited, non-exclusive license to use, reproduce, modify, process, and submit those materials to our contractors and technology providers solely as reasonably necessary to provide the requested services.
You represent that you have the necessary rights and permissions to provide and authorize the use of all Client Materials.
AI-Generated Content
Our services use generative artificial intelligence and other automated technologies.
You acknowledge that AI-generated content may occasionally contain inaccuracies, visual inconsistencies, unexpected artifacts, pronunciation errors, product inaccuracies, or other imperfections inherent to generative AI.
Agency Archi performs reasonable quality control before final delivery, but we do not guarantee that AI-generated material will be completely error-free or perfectly reproduce every physical characteristic of a product, person, location, or other reference.
Where an output materially fails to follow the agreed creative direction, Agency Archi may regenerate or correct the affected output at our reasonable discretion.
Revisions
Unless otherwise specified in your package or agreement, paid deliverables include up to two rounds of reasonable revisions.
Revisions are intended for reasonable modifications to an approved concept or execution.
Requests that materially change the original concept, script, product, audience, creative direction, or Angle may be treated as a new Angle or additional deliverable rather than a revision.
Additional Angles, deliverables, or revisions beyond the included scope may be charged at the applicable package rate or another rate agreed with the client.
Unused revisions have no cash value and do not roll over unless otherwise agreed in writing.
Turnaround Times
Any turnaround times displayed on our website or communicated by Agency Archi are estimates unless expressly guaranteed in writing.
Turnaround may be affected by:
client response times;
revision requests;
availability or outages of third-party AI platforms;
technical issues;
complexity of requested creative;
missing or inaccurate Client Materials; or
other circumstances reasonably outside Agency Archi’s control.
Client delays in providing required materials, approvals, or feedback may extend delivery dates.
Intellectual Property and Commercial Usage
Upon receipt of full payment, the client receives commercial usage rights to the final approved and delivered creative assets produced specifically for that client, subject to any restrictions imposed by third-party platforms, stock assets, music providers, AI providers, or other licensors.
Agency Archi retains ownership of its:
prompts;
methodologies;
creative frameworks;
templates;
internal databases;
workflows;
automation systems;
processes;
know-how;
project systems; and
other proprietary tools used to produce the deliverables.
Unless otherwise agreed, editable project files, internal prompts, generation histories, databases, automation workflows, and other production materials are not included as client deliverables.
Third-Party Platforms
Agency Archi may use third-party software and services to produce deliverables, including generative AI, video generation, editing, transcription, captioning, cloud storage, analytics, and other production technologies.
These providers may have their own terms, licensing conditions, availability limitations, and usage restrictions.
Agency Archi is not responsible for outages, policy changes, service interruptions, or other failures caused by third-party platforms outside our reasonable control.
Payment and Billing
Unless otherwise agreed in writing, fees are payable in advance before production for the applicable billing period begins.
Monthly packages are billed according to the pricing and billing terms agreed at purchase.
Additional Angles, deliverables, or services requested outside the included package may incur additional charges.
The client is responsible for any applicable taxes, transaction fees, or other charges identified at checkout or on an invoice.
Cancellations and Refunds
Because Agency Archi provides customized creative services and incurs production costs once work begins, payments for work that has already commenced are generally non-refundable.
If a monthly service is cancelled, cancellation prevents future billing but does not automatically entitle the client to a refund for work already performed, production capacity already allocated, or the current billing period.
Any refund or credit offered outside these Terms is at Agency Archi’s discretion unless otherwise required by applicable law.
Creative Performance
Agency Archi applies performance marketing principles to creative strategy and production. However, we do not guarantee that any advertisement will achieve a specific result.
We do not guarantee:
ROAS;
CPA;
revenue;
sales;
conversion rate;
CTR;
profitability;
advertising platform approval;
account performance; or
that any particular creative will become a “winning” advertisement.
Advertising performance depends on numerous factors outside our control, including media buying, targeting, budgets, product-market fit, pricing, offers, competition, landing pages, websites, inventory, attribution, seasonality, and platform algorithms.
Past results do not guarantee future performance.
Advertising Claims and Compliance
The client is responsible for reviewing and approving final advertisements before publication.
The client is also responsible for ensuring that its:
product claims;
pricing;
offers;
testimonials;
health or performance claims;
intellectual property;
disclosures; and
advertisements
comply with applicable laws, regulations, industry requirements, and advertising platform policies.
Agency Archi does not provide legal or regulatory advice.
Client Approval
Delivery or approval of a creative does not transfer responsibility for the accuracy of the client's product information or advertising claims to Agency Archi.
Clients should review all final assets before launching them.
If you identify a factual or product-related error, notify us before publishing the affected creative.
Portfolio and Promotional Use
Unless otherwise agreed in writing, Agency Archi may display completed creative work for portfolio, case-study, website, social media, sales, or promotional purposes.
We will not intentionally disclose confidential performance data, private business information, or other confidential materials without permission.
Clients who require confidential or white-label treatment should notify Agency Archi in writing before production begins.
Confidentiality
Agency Archi will take reasonable measures to protect confidential business information supplied by clients and will use such information only as reasonably necessary to provide our services.
Information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law is not considered confidential under this provision.
Limitation of Liability
To the maximum extent permitted by applicable law, Agency Archi will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost advertising revenue, lost business opportunities, or losses resulting from advertising performance.
To the maximum extent permitted by law, Agency Archi’s aggregate liability arising from a particular service or claim will not exceed the amount paid by the client to Agency Archi for the services giving rise to that claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
Changes to Services or Terms
Agency Archi may update its services, packages, pricing, policies, or these Terms from time to time.
Changes will apply prospectively unless otherwise stated or agreed.
Material changes affecting an active client’s existing paid scope will be communicated where reasonably appropriate.
Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without prejudice to any mandatory consumer or other protections that may apply based on the client’s jurisdiction.
